Disclaimer.

Non-Proprietary Information Warranty and Indemnification

All materials, data, and information submitted to Meditek Consulting, LLC by any industry professional (the “Submitting Party”) must be warranted by the Submitting Party as non-proprietary, non-confidential, and free of any copyright, trade secret, or other reserved rights that would restrict distribution or public dissemination.

The Submitting Party shall fully indemnify, defend, and hold harmless Meditek Consulting, LLC and its affiliates, officers, members, agents, and representatives from and against any and all claims, demands, actions, liabilities, losses, damages, costs, or expenses (including reasonable attorneys’ fees) arising out of or related to the dissemination, use, or reliance upon such submitted materials.

In the event that Meditek Consulting, LLC receives notice from any third party asserting a proprietary or legal claim to any portion of the information received or distributed, the company shall, at its sole discretion, immediately:

Suspend any further acquisition or receipt of information from the Submitting Party; and

Cease all distribution, publication, or reliance on the disputed information until a final resolution has been reached among all relevant parties or a lawful determination is rendered.

Right to Revoke and Reimbursement Obligation

Either party shall have the right to revoke the dissemination or use of any information previously provided, if it is subsequently determined that such information was subject to third-party rights, confidentiality restrictions, or was otherwise not lawfully authorized for distribution or use.

In the event that Meditek Consulting, LLC has acquired or relied upon such information which is later deemed non-transferable, restricted, or protected, the submitting or selling party shall be required to:

Reimburse Meditek Consulting, LLC for the full amount paid or value exchanged in consideration for the affected information; and

Pay an additional ten percent (10%) professional fee based on the amount reimbursed, as compensation for administrative handling, due diligence efforts, and potential exposure.

This clause shall survive termination of any agreement or transaction and shall remain enforceable regardless of the form or medium in which the information was delivered.

Dispute Resolution and Jurisdiction

Any disputes, claims, or controversies arising out of or relating to the submission, use, or distribution of information provided to or by Meditek Consulting, LLC shall be resolved through binding arbitration before a neutral arbitrator duly registered in the United States, in accordance with the rules of the American Arbitration Association (AAA) or a comparable recognized arbitration body.

The arbitration shall be conducted in a jurisdiction within the continental United States, as selected solely by Meditek Consulting, LLC. Each party agrees to waive any objection to venue or forum non conveniens with respect to such jurisdiction.

The arbitrator’s decision shall be final and binding, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.
